The county council of Arad, as owner of the Regia Autonoma Apa Canal
(RAAC Arad), has determined that it will seek to involve the private
sector in the provision of water and wastewater services to increase
efficiency and to address identified investment needs of EUR 90 000 000
over the next 15 years. The county council wishes to have a PSP in place
no later than 31.12.2006.
The scope of the PSP as well as the selection and procurement process
need to be in full compliance with relevant EU regulations, to ensure
that Arad continues to benefit from ISPA (and after accession)
Cohesion/Structure Fund availability. The county council would like to
conclude a long-term concession with an experienced operator who will be
responsible for operations, billing and revenue collection as well as
financing investments and renewals for the water and wastewater systems
for Arad city and a number of other localities throughout the county. To
this end, it is likely that the bid criteria involved in the selection of
the private partner will include, 'inter alia', the following:
- percentage of households provided with water and wastewater connections,
- proportion of connections metered,
- compliance with drinking water and effluent discharge quality as set
out in the relevant EU directives,
- reduction in unaccounted-for water losses.
To assist it in this process, the county wishes to engage an advisor
which will provide comprehensive services to assist it in selecting and
contracting a partner for private sector participation. This consultancy
contract will be financed entirely with the proceeds of a loan from the
Bank and will be open to firms from any country. The proceeds of the
Bank's loan will not be used for the purpose of any payment to persons or
entities, or for any import of goods, if such payment or import is
prohibited by a decision of the United Nations Security Council taken
under chapter VII of the Charter of the United Nations or under a law of
official regulation of the purchaser's country.
As part of this assignment, the consultants will provide advice to the
county and prepare for and deliver to the county reports (as specified
below) on all economic, technical, legal and financial matters arising as
part of the public private partnership ('PPP') in RAAC Arad. In executing
the PPP assignment, the advisor will have to ensure that the public
private partnership is in compliance with EU ISPA and the forthcoming
Structure and Cohesion Fund regulations and any other relevant Commission
document, to ensure compatibility of the PPP with EU grant funding
availability.
The consultant will be responsible for preparing all documents in
relation to this assignment, including draft service standards.
The consultant will recommend service and output standards, which will be
clearly specified in the tender documents, taking into account the
regulatory and EU requirements and the existing commitments. The
successful tenderer will be required to meet these standards but will be
free to choose the most appropriate capital investments to do so.
The tender process will be transparent and the maximum possible
information will be made available to tenders, through the information
memorandum and data room, in accordance with best prevailing
international practice, the EBRD guidelines on financing of concessions
as well as all relevant EU and Romanian regulations.
The scope of work will consist of 3 phases:
(i) PSP concept acceptance;
(ii) completion of the tender documentation, including the concession
contract; and
(iii) tender and financial close; post-transaction assistance.
Interested firms are hereby invited to submit an expression of interest.
In order to determine the capability and experience of consulting firms
seeking to be shortlisted, the information submitted should include the
following:
- Company profile:
determination of the brief description of past history and current
organisation and management will provide an assessment of whether the
consultant will be able to cover the needs of the project and whether the
ownership structure - preferably completely independent with clear
communication lines - would give any potential conflicts of interest that
could influence the project.
- Experience in similar projects:
recent experience - last 5 years - from similar advisory projects will be
determined to assess the qualification of the advisor in the field of the
assignment. The advisor must show experience in handling similar projects
in an advisory capacity in a successful manner and that the knowledge in
all technical fields required is available inside his organisation. In
assessing the technical competence of consultants the number of projects
on which the consultants have been engaged is important, as well as the
level of responsibility commensurate with the requirements of the
assignment.
- Regional experience:
the extent of regional experience on similar projects is a measure of how
closely the consultants' experience matches the proposed consultancy
services. A good match of regional experience enables the consultant to
confidently execute the services with dispatch, since the initial
familiarisation period can be reduced. Cooperation with local consultants
is encouraged.
- Relevant staff CVs:
the personnel proposed at the professional level will illustrate the key
staff capability of the advisor for handling the project. Please note
that direct experience and successful PSP track record in concluding PSP
transactions will be a key criteria for tender evaluation.
- Finances and professional indemnity insurance (PII):
determination of financial capability will disclose whether or not the
advisor is bankrupt, or is engaged in bankruptcy proceedings and has a
sound economy and a reasonable solidity. In the pre-selection process
only those firms whose financial resources are judged to be appropriate
for the amount of the work to be performed will be considered.
Information on PII will be analysed to ensure that the consultant has
adequate insurance, given the magnitude of the project and scope of the
assignment.
- Quality assurance:
to demonstrate the adviser's capability to fulfil his obligations to the
highest level of standards, he should give a short description of his
quality assurance measures for this project, whose adequacy will be
assessed.
The above information should not exceed 30 pages including CVs of key
personnel.
Two copies of the above information, in English, with Romanian
translations, should be submitted to the address below.
Expressions of interest have to be submitted no later than the date
